Terms of Service

These terms are the contract between you and the provider of sild. By connecting a store or buying a plan you accept them on behalf of your business.
1. Who we are
sild is provided by Illia Kirieiev, a sole trader registered in Poland (CEIDG), NIP 8513342075, REGON 543413552, ul. Małe Błonia 31/2, 71-779 Szczecin ("we", "us"). Contact: [email protected].
2. Words used here
- Service: the sild cloud service at api.sild.cloud and everything it does for your store.
- Plugin: the free "sild – Merit Aktiva for WooCommerce" WordPress plugin.
- Account: one Merit Aktiva company, identified by its registry code. Several stores can share one account.
- Store: a WooCommerce site connected to an account.
- Merit: the Merit Aktiva accounting software, provided by Merit Tarkvara AS and its group companies. sild is an independent product. Merit does not make, endorse or support it.
- Shop data: data about your store's orders and buyers that the Service receives or reads from Merit.
3. Business use only
The Service is for businesses. You confirm that you act for a business and that the person who connects a store may bind it. The Service is not offered to consumers.
4. What the Service does
- The Plugin sends order events to the Service. The Service builds sales invoices, credit invoices and payments and, in Live mode, creates them in your Merit company with the API key you gave us.
- Every new store starts in Preview mode. In Preview mode the Service only reads from Merit and compares its results with your existing invoices. It writes nothing to Merit.
- You choose when a store goes Live. From then on the Service writes to Merit according to your settings.
- Optional features (stock from Merit, VAT number checks, emails, PDFs and others) depend on your plan and settings.
5. Your responsibilities
- Settings are your instructions. You decide the tax, payment and other mappings, the statuses that create documents and the switch to Live. Check them, and check the Preview report before going Live.
- Your accounting stays yours. Documents the Service creates are your documents. You or your accountant remain responsible for your books and tax returns. We do not give tax or accounting advice.
- Watch the signals. Look at the issues the Plugin shows and the emails the Service sends, and act on them.
- Merit access. You need a Merit plan with API access. You give us an API key for your company. You may revoke it in Merit at any time; the Service then stops working for that account.
- Keep your site safe. Anyone with administrator access to your WordPress site can change sild settings.
- Lawful data. You have a legal basis to give us the Shop data, and you tell your buyers about it in your own privacy notice.
6. Plans, trial and limits
- Plans, prices and order limits are listed at sild.cloud/pricing. Prices are in euro and exclude VAT.
- New accounts get a 14-day trial with Pro features. After the trial the account moves to the Free plan unless a paid plan was bought.
- Order limits count orders per calendar month (Europe/Tallinn time).
- On the Free plan, orders over the limit wait until the next month or an upgrade. On paid plans, orders over the limit are still processed, and we may ask you to move to a plan that fits.
- An order that waits is never dropped. It is processed once the limit allows.
7. Payment
- Paid plans are billed in advance, monthly or yearly, through Stripe, and renew automatically until cancelled.
- VAT: businesses in Poland pay Polish VAT. Businesses in other EU countries with a valid VAT number are billed under the reverse charge. Other customers are billed as the law requires.
- Every payment gets an invoice, issued in the Polish National e-Invoicing System (KSeF) and sent to the account email.
- If a payment fails, the paid plan stays on for 14 days. If it is still unpaid after that, the account moves to the Free plan.
- Card and bank details are handled by Stripe. We never see or store them.
8. Changes and cancellation
- You can change or cancel your plan at any time in the billing portal (Plugin → Plan & billing).
- A cancelled plan runs until the end of the paid period. We do not refund unused time unless the law requires it.
- Upgrades and downgrades are charged or credited as the billing portal shows before you confirm.
- We may change prices with at least 30 days' notice by email. A new price applies from your next billing period.
9. Acceptable use
You will not:
- try to get around plan limits or the licence checks of the Service;
- probe, overload or attack the Service, or reverse engineer it;
- use the Service for unlawful data or unlawful purposes;
- resell the Service as your own without our written consent.
10. Software and names
- The Plugin is free software under the GNU GPL v2 or later. These terms do not limit your rights under that licence.
- The Service is ours and is not part of the Plugin. You get a right to use it for your stores while your account is in good standing.
- "sild" and its logo are ours. Merit Aktiva, WooCommerce and WordPress are trademarks of their owners.
11. Availability and support
- We work to keep the Service available and fix faults quickly, but we do not promise uninterrupted service. Planned maintenance is announced in advance when it may affect processing.
- When the Service or Merit is unavailable, orders wait and are processed later. Nothing is lost.
- Support is by email at [email protected], in English or Estonian, on business days. We aim to answer within two business days.
- Merit is a third party. We are not responsible for Merit's availability, changes to its API or its decisions.
12. Data protection
- For Shop data we are your processor. The Data Processing Agreement at sild.cloud/dpa is part of these terms.
- For data about you as our customer we are the controller. See the Privacy Policy at sild.cloud/privacy.
13. Liability
- Each side is liable for damage it causes intentionally. Nothing in these terms limits that or any liability that the law does not allow to be limited.
- Otherwise, our total liability for all claims in any 12 months is limited to the fees you paid us in those 12 months.
- We are not liable for lost profit, indirect damage, or tax interest and penalties that result from your settings, from documents you did not check, or from Merit.
- You must tell us about a problem without undue delay after you notice it, so we can limit its effect.
14. Suspension and ending the contract
- You can end the contract at any time by disconnecting your stores and cancelling any paid plan.
- We can end it with 30 days' notice by email. If we stop offering the Service altogether, we give at least 60 days' notice.
- We can suspend an account at once if it puts the Service or other customers at risk, or if these terms are seriously broken. We tell you why.
- When the last store of an account disconnects, its Merit API key is deleted. Other data is deleted as the DPA describes. Documents already created stay in your Merit company.
15. Changes to these terms
We may change these terms. We email you at least 30 days before a change that affects you takes effect. If you do not agree, you can end the contract before then. Continued use after that date means you accept the change.
16. Law and disputes
Polish law applies, without the UN Convention on Contracts for the International Sale of Goods. Disputes go to the courts competent for our registered seat. We will always try to settle a problem by email first.
17. Language
These terms are written in English. Translations on sild.cloud are for convenience; if a translation differs, the English text applies.
